Terms of Service
Welcome to Priorio.ai (“Priorio”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, dashboards, APIs, and modules (collectively, the “Service”). By creating an account, subscribing to a module, or otherwise using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Accounts
Your account is issued by us or by an administrator within your organisation. You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Notify us immediately at info@priorio.ai if you suspect unauthorised access.
3. The modules and subscriptions
The Service is offered as a set of modules (currently AI Sales, AI Enquiry, AI Leads, and AI Social). You may subscribe to one or more modules on a monthly or annual basis. Each subscription auto-renews at the end of the current billing cycle unless you cancel it beforehand.
4. Payments and billing
- All payments are processed by our billing partner, Paddle, who acts as the merchant of record.
- Prices are shown in the currency displayed at checkout. Applicable taxes are added at checkout in accordance with local law.
- Failure to pay may result in your access being suspended or terminated until the invoice is settled.
5. Acceptable use
You agree not to (a) reverse-engineer or attempt to derive source code from the Service; (b) upload content that is illegal, defamatory, or infringes third-party rights; (c) use the Service to send spam or perform unauthorised bulk outreach; (d) interfere with the security or performance of the Service or the underlying infrastructure.
6. Your content and data
You retain ownership of all data you or your users submit to the Service (“Customer Data”). You grant us a limited licence to host, process, and display Customer Data solely to provide, secure, and improve the Service. We handle personal data in accordance with our Privacy Notice.
7. Third-party services
The Service integrates with third-party providers (for example, Aircall for call telephony, OpenAI for AI analysis, Google APIs for lead discovery, Meta for social publishing, and Paddle for billing). Your use of those integrations is also subject to the terms of the relevant third party.
8. Suspension and termination
You may cancel your subscription at any time from your dashboard or by writing to info@priorio.ai. We may suspend or terminate accounts that breach these Terms, are involved in fraud, or expose the Service to legal or security risk. Sections 6, 9, 10, 11, and 12 survive termination.
9. Warranties and disclaimers
The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate for every case. You are responsible for reviewing AI-generated content before acting on it.
10. Limitation of liability
To the maximum extent permitted by law, Priorio’s aggregate liability arising out of or in connection with these Terms or the Service will not exceed the fees you paid to Paddle for the Service in the twelve (12) months preceding the event giving rise to the claim. Priorio will not be liable for any indirect, incidental, special, consequential, or lost-profit damages.
11. Changes to the Service and Terms
We may modify or discontinue parts of the Service, and we may update these Terms from time to time. Material changes will be announced by email or an in-product notice at least 30 days in advance. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
12. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Priorio is registered. Any disputes will be resolved by the competent courts of that jurisdiction, unless mandatory consumer protection laws in your country require otherwise.
